Panama Corporation (S.A.) in 2026: Requirements, Costs and Step-by-Step.

How to incorporate a Panama corporation (sociedad anónima) in 2026: Law 32 of 1927, articles of incorporation, directors and officers, costs and the annual franchise tax, beneficial ownership filings, and when it beats other structures.

The Panamanian corporation (sociedad anónima), governed by Law 32 of 1927 — one of the most stable corporate statutes in the world — remains the preferred vehicle for operating businesses, holding assets and structuring investments in Panama and abroad. This guide covers what you need to incorporate in 2026 and the duties that follow.

The essentials in 60 seconds

  • 2 subscribers appear in the articles of incorporation (they can be nominal); afterwards all shares may belong to a single owner.
  • 3 directors minimum plus the classic officers (president, secretary, treasurer); any nationality, and roles can be combined.
  • Mandatory resident agent: a Panamanian lawyer or law firm.
  • No minimum paid-in capital: the standard authorized capital is US$10,000 (10,000 shares of US$1), with no obligation to pay it in.
  • Annual franchise tax of US$300 to keep the corporation in good standing.

Steps to incorporate

  1. Name. Availability check at the Public Registry; it must include "S.A.", "Corp.", "Inc." or equivalent.
  2. Articles of incorporation. The founding document: name, purpose (it can be broad), authorized capital and share classes, directors, officers and resident agent.
  3. Notarization and registration. The articles are notarized and filed with the Public Registry. Upon registration, the corporation exists.
  4. After registration: tax ID (RUC), a business license if it will operate locally, a bank account and the beneficial-owner filing.

The duties nobody tells you about (and that trigger fines)

  • Beneficial Ownership Registry: the resident agent must report who ultimately controls the corporation; non-compliance brings penalties and even suspension of corporate rights.
  • Accounting records: since Law 52 of 2016 (tightened in 2021), every corporation must keep accounting records available to its resident agent — even if it does not operate in Panama.
  • Franchise tax: late payment accrues surcharges and eventually the corporation falls into default and cannot register corporate acts.

Corporation or another structure?

  • For small personal ventures, Panama's entrepreneurship companies are cheaper and simpler.
  • For real-estate holding, family holdings and international operations, the S.A. remains king for its share flexibility and a century of case law.
  • Foreigners should check the list of activities restricted to Panamanians (retail trade and certain professions).

Does a corporation give me residency?

Not by itself, but it underpins several immigration routes: the Macro-Business Investor Visa (a ~US$160,000 contribution with local payroll) and the economic-tie route of the Friendly Nations Visa. If your plan combines company + residency, design them together from day one.
