Confidentiality Agreement in Panama: Complete 2025 Guide and Free Template.
How to draft a Confidentiality Agreement (NDA) that protects your company in Panama: the essential clauses, the applicable legal framework (Law 81 of 2019, Civil Code, Criminal Code) and a basic reference template.
In today's competitive business world, information is your company's most valuable asset. From client lists and marketing strategies to secret formulas and financial data, protecting this information is not a luxury, it is a necessity.
One of the most powerful legal tools to achieve this is the Confidentiality Agreement, also known as an NDA (Non-Disclosure Agreement).
But how do you draft an agreement that truly protects you in Panama? Which clauses are essential? In this complete guide, we will explain everything you need to know and, at the end, we will give you a basic template so you can get started.
Why is a Confidentiality Agreement Crucial for Your Company?
A Confidentiality Agreement is a legal contract that establishes a confidential relationship between two or more parties. Its main objective is simple: to prevent the sensitive information you share from being disclosed to unauthorized third parties.
In Panama, its importance is reinforced by a robust legal framework, which includes:
- Law 81 of 2019 on the Protection of Personal Data: if your employees handle data of clients, suppliers or any natural person, they are legally obligated to protect it. An NDA formalizes this obligation.
- The Civil and Commercial Code (Código Civil y de Comercio): These protect trade secrets and establish the basis for claiming damages if someone breaches your company's trust.
- The Criminal Code (Código Penal): The disclosure of business secrets may, in certain cases, constitute a criminal offense.
This agreement is essential for employees, but also for contractors, business partners, consultants and anyone who has access to your business's "crown jewels."
The 7 Key Elements of a Solid Confidentiality Agreement
A good NDA is not a generic document. It must be tailored to your business. Nevertheless, there are certain clauses that should never be missing:
- Identification of the Parties: Clearly define who is the "Disclosing Party" (your company) and who is the "Receiving Party" (the employee, partner, etc.).
- Definition of "Confidential Information": Be specific. It is not enough to say "all information." List the categories: business plans, financial data, client lists, software, marketing strategies, internal manuals, etc.
- Obligations of the Receiving Party: Clearly establish what the person may not do: disclose, copy, share or use the information for personal purposes or purposes unrelated to the company.
- Term of the Agreement: How long does the confidentiality obligation last? It may be for a specific number of years (e.g., 3 or 5 years) after the employment relationship ends, or even indefinitely for high-value trade secrets.
- Return of Information: Require that, upon termination of the contract, the person return all documents, files, devices and copies of the confidential information and delete any trace of it from their personal equipment.
- Consequences of Breach: This is the "bite" of the agreement. Detail the possible penalties: from termination of the contract to legal action to claim financial damages and the fines established by Panamanian law.
- Procedure for Inquiries: Designate a person or department (e.g., Immediate Supervisor, HR, Legal Advisor) to consult in case of doubt about what information may be shared.
