Over decades, Panama has built a map of **special regimes** that combine dedicated zoning with tax incentives to attract investment, trade and services. Choosing the right regime (and meeting its registration and economic-substance requirements) can completely change a project's tax burden. This guide summarizes the main ones, with their legal basis and concrete incentives.

> Informational guide, not personalized tax advice. Nearly all of these regimes require **registration or a license** with the governing authority and are subject to **economic substance** rules (OECD standards). Verify your case.

## Multinational Enterprise Headquarters (SEM)

- **Legal basis:** Law 41 of 2007, reformed by Law 57 of 2018 (effective 2019, aligned with OECD standards). Governed by **MICI**.
- **Incentives:** **income tax reduced to 5%** on net taxable income from services rendered; exemption from dividend, complementary and branch taxes; labor and immigration benefits for key foreign staff; legal stability.

## EMMA, Multinationals for Manufacturing Services

- **Legal basis:** Law 159 of 2020. Governed by **MICI**.
- **Incentives:** **income tax reduced to 5%** on taxable income from services; ITBMS (VAT) exemption on services to persons that do not generate taxable income in Panama; customs, labor and immigration benefits (including permanent residency).

## Panama-Pacifico Special Economic Area

- **Legal basis:** Law 41 of 2004 (creates the regime and its Agency), with later reforms. Location: **former Howard Air Base, Arraiján district.**
- **Incentives:** exemption from numerous direct and indirect taxes, from the business license tax and stamp tax; customs, labor and immigration benefits. *(Some property-tax exemptions have a time horizon; confirm the current term before investing.)*

## Colon Free Zone (ZLC)

- **Legal basis:** Decree Law 18 of 1948; ITBMS regime in Law 8 of 2016, amended by Law 412 of 2024. The largest free zone in the Western Hemisphere.
- **Incentives:** income-tax exemption on re-export operations abroad; import-tax exemption on goods in transit/re-export; special ITBMS treatment for goods whose final destination is abroad.

## City of Knowledge

- **Legal basis:** Decree Law 6 of 1998 (State–Foundation contract), extended by addendum. Location: **former Clayton base, Ancón.**
- **Incentives:** exemption from import tax, ITBMS and property tax on the project's goods and equipment; income-tax and business-license exemption for registered entities. Municipal tax is not exempt.

## Free Zones (general regime)

- **Legal basis:** Law 32 of 2011, regulated by Executive Decree 62 of 2017. Governed by **MICI / National Free Zone Commission.**
- **Incentives:** income-tax exemption on export operations and on operations between companies within the zone (local-market sales are taxed); exemption from import taxes and tariffs on inputs and equipment; ITBMS exemption within the zone or toward abroad; property-tax exemption for defined periods.

## Tourism regime

- **Legal basis:** Law 80 of 2012, amended by Law 122 of 2019. Governed by the **Panama Tourism Authority (ATP)**, National Tourism Registry.
- **Incentives:** import-tax exemption (5 years on construction materials; 10 years on establishment equipment); a tax credit for investors in registered projects. *(Tourism incentives have been subject to recent reforms; confirm their current validity.)*

## Which one fits?

It depends on the activity: SEM and EMMA for corporate and manufacturing services; Panama-Pacifico for logistics, technology and light manufacturing; the Colon Free Zone and free zones for trade and re-export; City of Knowledge for education, research and NGOs; the tourism regime for hospitality and developments. Each has its own requirements, terms and substance obligations.
